Please read these Terms carefully. By creating an account or using FretStudio, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and FretStudio LLC, a Florida limited liability company ("FretStudio," "we," "us," or "our"), governing your access to and use of the FretStudio application and website at fretstudio.app (the "Service").
By creating an account or using any part of the Service, you represent that you are at least 13 years of age, have read and understood these Terms, and agree to be bound by them.
2. Description of Service
FretStudio is a web-based guitar learning and performance application providing:
- Interactive guitar lessons, music theory instruction, and scored exercises
- Song import, organization, and practice tools including Play Mode and backing track sync
- Performance and setlist management (Backstage, Rehearsal, Gig Mode)
- Collaboration tools including instructor-student relationships and group setlists
- Community features for sharing chord progressions and song ideas
- A digital audio workstation (DAW) for recording and arrangement
The Service is provided in tiered levels: Free, Pro, Premium, and Lifetime. Features available at each tier are described at fretstudio.app and are subject to change with notice.
3. Accounts and Registration
3.1 Account Creation
To access most features you must create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
3.2 Age Requirements
The Service is not directed to children under 13. Users between 13 and 18 may use the Service only with parental or guardian consent. We do not knowingly collect personal information from children under 13.
3.3 Account Security
Notify us immediately at help@fretstudio.app of any unauthorized account use. We are not liable for losses from unauthorized use prior to your notification.
4. Subscriptions and Payment
4.1 Subscription Plans
FretStudio offers paid plans (Pro, Premium, and Lifetime). Current pricing is displayed at fretstudio.app. We reserve the right to modify pricing with at least 30 days notice to existing subscribers.
4.2 Billing
Subscriptions are billed in advance on a recurring basis through Stripe. By providing payment information, you authorize us to charge your payment method for all fees. All fees exclude taxes where applicable.
4.3 Free Tier
The Free tier requires no payment. We may modify Free tier features at any time. Your content is never deleted solely because you don't upgrade.
4.4 Cancellation and Refunds
Cancel anytime through account settings or our customer portal. Cancellation takes effect at the end of your billing period. No prorated refunds for unused time, except as required by law. Lifetime purchases are non-refundable after 14 days.
4.5 Lifetime Subscriptions
"Lifetime" refers to the life of the Service, not the subscriber's personal lifetime. We will provide at least 90 days notice before discontinuing the Service.
5. User Content
5.1 Your Content
You retain ownership of content you create or import. You grant FretStudio a limited, non-exclusive, royalty-free license to store and process your content solely to provide the Service.
5.2 Community Content
Content you share publicly grants FretStudio and other users a non-exclusive license to view and import it within the Service. You represent you have the right to share anything you make public.
5.3 Copyright and Third-Party Content
You are solely responsible for ensuring your content complies with copyright law. Importing copyrighted material for personal practice may constitute fair use; sharing it publicly does not. You agree not to use FretStudio to infringe third-party intellectual property rights.
5.4 Content Removal
We may remove content that violates these Terms or applicable law. We will provide notice where practical.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Upload content that infringes third-party intellectual property rights
- Attempt to gain unauthorized access to any part of the Service
- Reverse engineer, decompile, or extract source code from the Service
- Use automated tools to access the Service without written permission
- Impersonate any person or misrepresent your affiliation
- Harass or abuse other users through community features
- Upload malicious code or harmful content
- Extract FretStudio content or structure to build competing products
7. Educator and Student Features
- Educators are responsible for the appropriateness of assigned content
- FretStudio does not verify educator credentials or qualifications
- Lesson arrangements are between educator and student; FretStudio is not a party and not responsible for lesson quality, fulfillment, or payment
- Users under 18 should obtain parental consent before connecting with educators
8. Intellectual Property
The Service — including its design, code, curriculum, exercises, sound synthesis engine, and all FretStudio-created content — is owned by FretStudio LLC and protected by copyright, trademark, and other intellectual property laws. The FretStudio name and logo are trademarks of FretStudio LLC. You may not use our trademarks without prior written permission.
9. Privacy
Your use of the Service is governed by our Privacy Policy, incorporated into these Terms by reference. By using the Service, you consent to the data practices described there.
10. Third-Party Services
The Service integrates with Firebase (Google), Stripe, and Netlify. Your use of these services is subject to their respective terms and privacy policies. FretStudio is not responsible for third-party practices.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR UNINTERRUPTED AVAILABILITY. FRETSTUDIO DOES NOT WARRANT THAT USE OF THE SERVICE WILL IMPROVE YOUR GUITAR PLAYING. PROGRESS DEPENDS ON INDIVIDUAL EFFORT AND PRACTICE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRETSTUDIO LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) FEES YOU PAID IN THE PRECEDING 12 MONTHS OR (B) $100.
13. Indemnification
You agree to indemnify and hold harmless FretStudio LLC from claims arising from your use of the Service, your User Content, your violation of these Terms, or your violation of third-party rights.
14. Termination
We may suspend or terminate your account for violation of these Terms. Upon termination, your right to use the Service ceases. You may export your content prior to termination where technically feasible. Sections 5, 8, 11, 12, 13, and 16 survive termination.
15. Changes to Terms
We may modify these Terms at any time with at least 14 days notice via email or in-app notice before changes take effect. Continued use after the effective date constitutes acceptance.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Florida. Disputes shall be resolved by binding arbitration in Florida under AAA rules, except either party may seek injunctive relief for IP disputes. You waive any right to a jury trial or class action.
17. General Provisions
- Entire Agreement: These Terms, Privacy Policy, and DMCA Policy constitute the entire agreement between you and FretStudio.
- Severability: If any provision is unenforceable, the rest remain in force.
- No Waiver: Failure to enforce any provision is not a waiver of that right.
- Assignment: You may not assign these Terms without our consent.
